“Marcas Asset Management LLC,” “we,” “us,” or “our” refers to Marcas Asset Management LLC, a U.S. business-finance company. “You” means any visitor or user of the Site. These Terms cover Site use only; any financing or advisory products will be governed by separate written agreements.

You agree to use the Site lawfully and not to:

11) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MARCAS ASSET MANAGEMENT LLC OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Our total liability for any claim related to the Site will not exceed one hundred U.S. dollars (US $100).
12) Indemnification
You agree to defend, indemnify, and hold harmless Marcas Asset Management LLC and its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or misuse of the Site.
13) Changes to the Site or Terms
We may modify, suspend, or discontinue any part of the Site at any time. We may also update these Terms; the “Effective Date” will reflect the latest update. Your continued use of the Site after changes constitutes acceptance.
14) Suspension/Termination
We may suspend or terminate your access to the Site at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to the Site, us, or others.
15) Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. You consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York, for all disputes not subject to arbitration.
Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms, including their breach, termination, enforcement, interpretation, or validity, shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator seated in New York County, New York. Judgment on the award may be entered in any court of competent jurisdiction.
Class Action Waiver. You and Marcas Asset Management LLC each agree to bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or preside over any form of representative or class proceeding.
Exceptions. Notwithstanding the foregoing, either party may (a) bring an individual action in small claims court, and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights.
16) Severability; Entire Agreement; Waiver
If any provision is held invalid or unenforceable, the remaining provisions remain in full force. These Terms constitute the entire agreement regarding Site use and supersede prior or contemporaneous communications. Our failure to enforce any provision is not a waiver.
